Terms of Service

Boundless Business Services Pty Ltd

Welcome to Boundless Business Services Pty Ltd (trading as BoundlessBS). By accessing our website or engaging our services, you agree to be bound by the following Terms of Service. These terms govern the relationship between BoundlessBS (“we”, “us”, or “our”) and the Client (“you”).

1. Service Engagement & 12-Month Agreement

Our standard engagement is a 52-week marketing roadmap encompassing Branding, Website/Funnel Build, Content Marketing, and Social Media Management.

  • Sequence: We reserve the right to adjust the sequence of delivery or execute phases concurrently to optimize results.

  • Approvals: Each phase requires formal approval before the next begins. Approval may be written or verbal; positive affirmations (e.g., “this looks great”) constitute formal approval.

2. Weekly Payment Model

  • Billing: All fees are billed on a weekly basis as outlined in your specific proposal or quote.

  • Non-Refundable: Weekly payments cover the reservation of agency resources and labor performed during that period. All payments are final and non-refundable.

  • Suspension: Failure to meet weekly payment obligations may result in the immediate suspension of services. Suspension does not pause billing for work already completed.

3. Phase Completion & Handoff

A phase is deemed complete once the deliverables have been provided and handed over.

  • Scope: Completion is defined by the delivery of the agreed-upon scope, not by subjective satisfaction or specific financial performance outcomes.

  • Ad Hoc Work: Once a phase is complete, any further changes or “revisiting” of that phase will be treated as ad hoc services and billed separately.

4. Client Responsibilities & Delays

To maintain project momentum, we require timely feedback and access.

  • Pause Trigger: If you delay feedback or approvals for more than fifteen (15) business days, we reserve the right to pause the project.

  • Reset Fees: If a project is paused for more than twenty-five (25) business days, a restart or re-onboarding fee may be required to resume work and reallocate resources.

5. Intellectual Property & Rights

  • Ownership: Ownership of final deliverables transfers to the Client only upon receipt of full and final payment for the entire engagement.

  • Retained Rights: BoundlessBS retains all rights to our underlying property, including templates, proprietary frameworks, systems, and methodologies.

  • Portfolio Use: We reserve the right to showcase all work produced for portfolio and marketing purposes unless a specific Non-Disclosure Agreement (NDA) is in place.

  • Copyright Revocation: In the event of a chargeback or non-payment, any license to use our materials is immediately revoked. Continued use will be treated as copyright infringement.

6. Early Termination

In the event of early termination by the Client:

  • All deliverables completed to date remain payable in full.

  • Any active “Work in Progress” will be invoiced based on the percentage of completion.

  • Any remaining weeks within the 52-week term are forfeited.

7. Non-Disparagement & Professional Conduct

The Client agrees not to make false, disparaging, or derogatory statements regarding BoundlessBS or its employees on public platforms (e.g., Google, social media). We value constructive feedback provided directly, but public attempts to damage our reputation will be considered a material breach of this agreement.

8. No Guarantees & Professional Disclaimer

  • Market Forces: Marketing outcomes are subject to external factors, algorithm changes, and consumer behavior. BoundlessBS makes no guarantees regarding specific sales volumes, revenue, or ROI.

  • Not Financial Advice: Our guidance is for informational purposes only and does not constitute financial, legal, or tax advice. We are not an Australian Financial Services (AFS) licensee.

9. Australian Consumer Law (ACL)

In accordance with the ACL, “Minor Failures” (e.g., typos or minor glitches) will be rectified within a reasonable timeframe and do not provide grounds for refunds. “Major Failures” are limited to instances where the service is rendered substantially unfit for its intended purpose due to our gross negligence.

10. Governing Law

These terms are governed by the laws of Queensland, Australia. Any disputes shall first be attempted to be resolved through good-faith negotiations before commencing legal proceedings.
